Welcome to PromptMatrix! These Terms of Service ("Terms") govern your access to and use of our website, managed cloud service, API endpoints, and command-line tools (collectively, the "Services"). By using our Services, you agree to be bound by these Terms.
1. Workspace Registration & Security
To use our cloud Service, you must create a workspace organization. You agree to:
- Provide accurate, current, and complete registration information.
- Maintain the security of your account passwords and API access tokens.
- Promptly notify us at hello@promptmatrix.io of any unauthorized security breach of your workspace.
2. Founder Tier (Lifetime Plan) & Billing
PromptMatrix offers a special Founder Tier purchase option:
- One-time Payment: Purchasing a Founder Tier workspace provides lifetime access to the features specified at the time of purchase (500 prompts, 5 team seats, 100 RPM serve throughput, LLM evals, and audit log access). No recurring subscription will be charged for this workspace.
- Account Cap: The Founder Tier is strictly capped at 100 registered organizations. Once all slots are claimed, no additional Founder Tier slots will be sold.
- No Transferability: Founder Tier memberships are assigned to the purchasing organization and cannot be resold, rented, or transferred to other entities without our written consent.
- Refunds: Payments are processed securely via Razorpay. Refund requests are subject to evaluation and must be initiated within 14 days of purchase by emailing hello@promptmatrix.io.
3. Service SLA & Resource Limits
For the managed cloud service, we enforce rate limits and prompt count constraints to maintain application availability for all organizations:
- The Founder tier is limited to 100 requests per minute (RPM) and a maximum of 500 active prompts stored in the cloud registry.
- Exceeding these limits will result in API requests being throttled or rejected (HTTP status 429).
- While we strive for 99.9% uptime, we offer the managed cloud on an "as-is" and "as-available" basis without warranties of any kind. If high-criticality uptime SLA is required, you may run the MIT-licensed OSS self-hosted version on your own infrastructure.
4. Intellectual Property
The code base for the PromptMatrix open-source core is licensed under the MIT License. You are free to self-host, clone, and modify it. However, the PromptMatrix brand name, logo, custom cloud routing dashboard, and visual assets are proprietary properties of PromptMatrix and may not be used without prior written authorization.
5. Termination
We reserve the right to suspend or terminate your cloud workspace in the event of persistent system abuse, fraudulent payment activities, or violations of applicable laws.
6. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction of the website owner, without regard to conflict of law principles.
7. Modifications to Terms
We may update these Terms from time to time. If we make material changes, we will notify registered workspace owners via email.
