Terms of Service — PromptMatrix

Welcome to PromptMatrix! These Terms of Service ("Terms") govern your access to and use of our website, managed cloud service, API endpoints, CLI, and SDKs (collectively, the "Services"). By using our Services, you agree to be bound by these Terms.

1. Workspace Registration & Security

To use our cloud Service, you must create a workspace organization. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security of your account passwords, API access keys, and JWT session tokens.
• Promptly notify us at jachinchsaikiasonowal@gmail.com of any unauthorized access or compromise of your workspace credentials.

2. Plans & Billing Models

PromptMatrix provides multiple access tiers across self-hosted and cloud options:

• Community Edition (Open Source): Self-hosted, local SQLite/PostgreSQL storage, free and open source under the MIT License.
• Starter Plan ($29/mo): Managed cloud workspace for small teams. Includes 100 active prompts, 3 team seats, and 60 RPM runtime throughput. Billed monthly via Razorpay with automatic renewal until cancelled.
• Pro Plan ($79/mo): Managed cloud workspace with advanced AI evaluation gating. Includes 400 active prompts, 10 team seats, 200 RPM throughput, and LLM-as-judge automated testing. Billed monthly via Razorpay.
• Founding Member Tier ($499 Lifetime): One-time payment providing lifetime access to 500 prompts, 5 team seats, and 100 RPM throughput without recurring fees. Strictly capped at 100 workspaces worldwide. Non-transferable without written approval.

3. Subscription Renewal, Cancellation & Refunds

• Recurring Subscriptions: Monthly plans (Starter & Pro) renew automatically on the billing date. You may cancel at any time via your workspace settings or billing portal; cancellation takes effect at the end of the current paid billing cycle.
• Non-Payment & Downgrades: If payment fails or a subscription is cancelled, the workspace is transitioned to unpaid status, which blocks runtime /serve API throughput (HTTP 402) while preserving your prompt registry configuration.
• Refunds: Founder Lifetime purchases include a 14-day evaluation refund window. To request a refund, contact jachinchsaikiasonowal@gmail.com within 14 days of purchase. Monthly subscription fees are non-refundable once the billing period has started.

4. Service SLA & Resource Limits

To guarantee sub-10ms prompt serving latency and high availability across the multi-tenant cloud fleet:

• API traffic exceeding plan throughput thresholds (e.g. 60 RPM on Starter, 200 RPM on Pro) will be throttled with HTTP status 429 and standard Retry-After headers.
• We target 99.9% uptime for cloud runtime endpoints. For mission-critical air-gapped workloads requiring 100% autonomous uptime, organizations may deploy the MIT-licensed open-source engine on their own infrastructure.

5. Intellectual Property & Zero Model Training

• Your Content: You retain all intellectual property rights in and to the prompts, tool schemas, system personas, and variables uploaded to PromptMatrix.
• Zero AI Model Training: PromptMatrix will NEVER use your prompts, system instructions, customer inputs, or evaluation outputs to train, fine-tune, or improve third-party or proprietary AI models.
• Open Source License: The PromptMatrix core software is licensed under the MIT License. Brand marks, trademarks, cloud dashboard styling, and domain names remain the exclusive property of PromptMatrix.

6. Termination

We reserve the right to suspend or terminate cloud workspaces found in breach of our Acceptable Use Policy, engaging in abusive DDoS traffic, or executing fraudulent transactions.

7. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
